2. Scope of Services
We provide AI-powered automation, marketing, and web solutions specifically designed for chiropractic practices in the United States. Services may include, but are not limited to:
AI Virtual Receptionist
Automated Patient Reactivation
Online Reputation Management
Website Development and Hosting
Real-Time Performance Dashboards
Unless explicitly agreed otherwise in writing, our services do not include clinical, medical, or legal advice.
3. Eligibility
You must be at least 18 years old and authorized to represent your business or practice to use our services.
4. Results-Based Payment Model
For certain services, we offer a “Pay Only If You Get Results” model.
Definition of Results: “Results” are defined in writing and agreed upon by both parties before the start of the service. Examples include a specific number of new patient leads, booked appointments, or other measurable metrics.
Payment Obligation: If the agreed results are met, payment is due in full. If results are not met as defined, no payment will be required.
Exclusions: This model does not apply if results are not achieved due to factors outside of our control, including but not limited to:
Client’s failure to provide required access, information, or approvals.
Delays caused by the client or third parties.
Significant changes in the client’s business operations or market conditions.
This model applies only when expressly stated in a signed written agreement.
5. HIPAA Compliance
When providing services to healthcare clients, including chiropractic practices, we comply with the Health Insurance Portability and Accountability Act (HIPAA) regarding the protection of Protected Health Information (PHI).
PHI will only be collected, stored, and transmitted when strictly necessary for service delivery.
We will enter into a Business Associate Agreement (BAA) with clients when required by HIPAA.
PHI will only be used or disclosed in accordance with HIPAA and the BAA.
Clients are responsible for obtaining all necessary patient consents and authorizations before sharing PHI with us.
6. Client Responsibilities
To ensure effective service delivery, you agree to:
Provide accurate and complete information required for setup and execution.
Grant necessary access to systems, accounts, and tools.
Comply with all applicable laws, including HIPAA and data protection regulations.
7. Intellectual Property
All intellectual property related to our websites, software, processes, and content remains our property or that of our licensors. You are granted a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes.
8. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from the use of our services, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount paid by you for the service in question.
9. Termination
Either party may terminate the agreement with written notice if the other party materially breaches these Terms. Upon termination, all outstanding payments (if applicable) become due immediately.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles.
